We strive for client satisfaction through clear communication, defined deliverables, and expert execution.
This Refund Policy outlines the general principles and procedures governing refunds for our Services. Due to the nature of our business – which involves significant investment in consulting, design, development, customization, deployment, and ongoing support – our approach to refunds differs significantly from standard retail or off-the-shelf software purchases.
Our primary goal is a successful partnership. We believe that a clear understanding of project scope, defined milestones, and transparent communication, as outlined in our Service Agreements and Scopes of Work (SOWs), is the best way to ensure project success and mitigate the need for refunds. This policy aims to provide clarity on how refund requests are handled, should they arise.

2. The Central Role of Service Agreements & Scopes of Work (SOWs)
This is the most critical aspect of our Refund Policy: The vast majority of our work is governed by detailed, legally binding Service Agreements and/or Scopes of Work (SOWs) signed by both HyperTrade and the Client. These documents meticulously define:
- The specific Services to be rendered.
- Project timelines and key milestones.
- Deliverables and acceptance criteria.
- Payment schedules, fees, and invoicing terms.
- Warranties and support levels (if any).
- Specific terms regarding cancellation, termination, and potential refunds or credits.
Therefore, the terms outlined in your specific, signed Service Agreement or SOW will ALWAYS SUPERSEDE this general Refund Policy in the event of any conflict or inconsistency. This general policy provides a baseline understanding, but your individual contract holds the definitive terms for your project. We strongly encourage clients to review their SOWs carefully and discuss any questions regarding payments, deliverables, or cancellations before signing.
3. Project-Based Services (Platform Deployment, Custom Development)
Our core offerings often involve substantial, project-based work. Due to the significant allocation of resources (developer time, project management, design, infrastructure setup) required for these projects, our policy reflects this investment:
- Deposits & Initial Payments: Most projects require an upfront deposit or initial payment before work commences. This payment secures your place in our schedule and covers the costs associated with project kickoff, requirements gathering, initial design, and resource allocation. Deposits and initial payments are generally NON-REFUNDABLE once the project has officially started (i.e., resources have been assigned and initial work has begun). If a project is cancelled by the Client before any substantial work has commenced, a partial refund of the deposit may be considered on a case-by-case basis, at HyperTrade’s sole discretion, less any administrative or pre-project consulting costs incurred.
- Milestone Payments: Projects are typically structured with payments due upon the completion and acceptance of specific milestones (e.g., completion of design phase, deployment to staging, user acceptance testing). Once a milestone has been completed by HyperTrade and accepted by the Client (either explicitly or implicitly by allowing work to proceed to the next phase), the payment associated with that milestone becomes NON-REFUNDABLE. This is because significant work and resources have been successfully delivered and consumed.
- Cancellation by Client During Project: If a Client chooses to cancel a project mid-stream, no refunds will be issued for work already completed or for milestone payments already made. Furthermore, depending on the terms of the SOW, the Client may be liable for payment for all work performed up to the cancellation date (billed at our standard rates or as a pro-rata portion of the next milestone) and potentially an early termination fee, especially if resources were allocated for future phases. Any pre-paid amounts for future, un-started work may be eligible for a partial refund or credit, at HyperTrade’s discretion and as defined in the SOW, less any termination fees or costs.
- Failure to Meet Deliverables: If HyperTrade fails to meet a specific, material deliverable as defined and agreed upon in the SOW (and after being given a reasonable opportunity to cure the failure as per the SOW’s terms), the Client may be entitled to remedies. These remedies will be first focused on HyperTrade rectifying the issue at no additional cost. If rectification is not possible or feasible, a partial refund or credit specifically related to the value of the failed deliverable (as reasonably determined by HyperTrade or as pre-defined in the SOW) may be considered. Full project refunds are extremely unlikely in such scenarios unless there is a total and fundamental failure of the entire project directly attributable to HyperTrade.
4. Subscription-Based & Recurring Services (Managed Hosting, Data Feeds, Support Plans)
For services billed on a recurring (e.g., monthly, quarterly, annual) basis:
- General Policy: Fees for subscription-based services are billed in advance. These fees are NON-REFUNDABLE for the period already paid. For example, if you pay for a month of hosting and cancel mid-month, you will not receive a refund for the remainder of that month.
- Cancellation: You may cancel your subscription at any time, subject to the notice period defined in your Service Agreement. Cancellation will prevent future billing cycles but will not trigger refunds for the current or past billing periods. Your service will typically continue until the end of the currently paid period.
- Annual Subscriptions: If you cancel an annual subscription, refunds for the unused portion of the year are generally not provided, unless explicitly stated otherwise in your Service Agreement. Early cancellation might incur a fee if a discount was provided based on the annual commitment.
- Downgrades/Upgrades: Service level changes will be handled according to the specific terms, often taking effect in the next billing cycle. Refunds are typically not issued for downgrades made mid-cycle.
5. Consulting & Advisory Services
Services billed on an hourly or daily rate, or under a retainer agreement, are generally NON-REFUNDABLE for time already spent or for the retainer period already paid, as these represent time and expertise made available or consumed. Unused pre-paid hours (beyond a retainer) may be refundable subject to the specific agreement.
6. Non-Refundable Costs
Please be aware that certain costs associated with projects are inherently non-refundable. These include, but are not limited to:
- Third-party software licenses or subscriptions purchased on your behalf.
- Hardware or infrastructure costs incurred.
- Domain name registration fees.
- Fees paid to third-party data providers or exchanges.
- Any time spent by HyperTrade staff on consulting, project management, design, development, deployment, or support activities.
- Transaction fees associated with payments.
7. Refund Request & Evaluation Process
To request a refund review, you must submit a formal request in writing to billing@hypertradenetwork.com (or the contact specified in your SOW). Your request must include:
- Your Company Name and Contact Information.
- Reference to the specific Service Agreement or SOW.
- The specific service(s) or deliverable(s) in question.
- A detailed explanation of the reason for your request, including any supporting documentation.
Upon receipt, HyperTrade will:
- Acknowledge your request within five (5) business days.
- Review your request against the terms of your SOW/Service Agreement, project records, communication logs, and work completed.
- We may request additional information or a meeting to discuss the matter.
- We will evaluate the request in good faith based on the policy outlined here and the specifics of your contract.
- We will provide a written response regarding our decision, typically within thirty (30) business days of receiving all necessary information.
8. Refund Issuance
If a refund is approved by HyperTrade (at its sole discretion, unless contractually obligated), it will be processed within fifteen (15) business days of the approval date. Refunds will typically be issued using the same payment method used for the original transaction. If that is not possible, an alternative method (like a bank transfer or check) will be arranged. Any processing fees associated with issuing the refund may be deducted from the refund amount.
9. Dispute Resolution
We aim to resolve any disagreements amicably. However, if a dispute arises regarding refunds that cannot be resolved through direct negotiation, it shall be subject to the Dispute Resolution (including Arbitration) clause outlined in our main Terms of Service and/or your specific Service Agreement.
10. Changes to This Policy
HyperTrade Network LLC reserves the right to modify this Refund Policy at any time. Any changes will be posted on our Website and will become effective immediately upon posting. For ongoing projects, the policy in effect at the time the SOW was signed will generally apply, unless otherwise agreed.
